By engaging A10 Digital Limited (“we”, “us”, “our”) for services, you (“Client”, “you”, “your”) agree to the following Terms and Conditions.

1. Services Provided

We provide the following services:

  • Website Design & Builds
  • Search Engine Optimisation (SEO)
  • Social Media Marketing (Organic & Paid)
  • Google Ads & Bing Ads
  • Email Marketing
  • Hosting, Domain Renewal & Emails
  • Website Maintenance

Services may include one-off projects, setup fees, and ongoing monthly retainers. A written proposal or quotation will set out the specific scope of work for each engagement.

2. Project Scope & Responsibilities

  1. Work will be carried out as described in the approved proposal, quotation, or statement of work.
  2. Any additional work requested outside the agreed scope will be subject to a separate quotation and billed at our prevailing rate.
  3. The Client is responsible for providing all necessary information, content, and approvals in a timely manner.
  4. Delays in providing required materials or feedback may result in project delays or additional costs.
  5. We may subcontract certain elements of the services where appropriate, ensuring the same standards of quality and confidentiality.

3. Payments & Invoicing

  1. Projects (Website Builds): Payments may be split over up to 12 months.
  2. Monthly Retainers: Invoices are issued monthly and are due within 7 days of the invoice date.
  3. Overdue Payments:
    • We reserve the right to charge interest on overdue invoices under the Late Payment of Commercial Debts (Interest) Act 1998 at 8% above the Bank of England base rate, at our discretion.
    • If payment remains outstanding for more than 30 days, services may be suspended until full payment is received.
  4. Monthly fees continue to accrue during any period of suspension unless formal cancellation is received.
  5. Ownership of all deliverables, websites, and assets remains with A10 Digital Limited until full payment is received.

4. Minimum Term & Cancellation

  1. All ongoing marketing, management, or hosting retainers are subject to a minimum term of six (6) months from the service start date.
  2. After the initial six-month period, clients may cancel by giving 30 days’ written notice.
  3. Cancellations must be made in writing (email is acceptable) to sam@a10digital.co.uk
  4. Payments already made are non-refundable.
  5. Where services are cancelled before full payment is made, A10 Digital Limited retains ownership of all materials, websites, and digital assets created.

5. Hosting, Domains, & Email Services

  1. Hosting, domain registration, and email services are billed monthly or annually as agreed.
  2. Services may be suspended or terminated if fees are not paid by the due date.
  3. Charges continue to accrue until a formal cancellation notice is received.
  4. We are not responsible for downtime, loss of data, or service issues caused by third-party providers, maintenance, or events beyond our control.

6. Performance & Marketing Results

  1. We will use reasonable skill and care in delivering all services.
  2. Due to the nature of digital marketing, specific results (such as traffic, ranking, or conversions) cannot be guaranteed.
  3. Performance may be affected by third-party platforms (e.g. Google, Facebook, Bing), client budgets, market changes, or algorithm updates for which we cannot accept liability.

7. Client Responsibilities

  1. You agree to provide us with all necessary access to accounts, websites, hosting, and relevant information needed to perform the services.
  2. You are responsible for ensuring that any materials you provide (text, images, data, etc.) do not infringe third-party rights or applicable laws.
  3. You must maintain appropriate backups of your website and data unless you have purchased a managed hosting or maintenance plan from us.

8. Intellectual Property

  1. A10 Digital Limited retains ownership of all intellectual property, source code, designs, and materials until full payment is received.
  2. Upon full payment, ownership of the final deliverables transfers to the client with no additional transfer fees.
  3. We reserve the right to display completed projects and anonymised performance results in our portfolio or marketing materials, unless otherwise agreed in writing.

9. Confidentiality

  1. Both parties agree to treat all confidential information shared during the course of the engagement as private and not disclose it to third parties without consent.
  2. This obligation continues after the termination of the contract.

10. Force Majeure

We are not liable for any failure or delay in performing our obligations caused by events beyond our reasonable control, including but not limited to: natural disasters, network outages, data centre failures, third-party service interruptions, strikes, or government restrictions.

11. Limitation of Liability

  1. Our total liability for any claim, loss, or damage arising under or in connection with our services shall not exceed the total value of the contract.
  2. We are not liable for:
    • Indirect, consequential, or economic losses;
    • Loss of profits, revenue, or business;
    • Third-party platform downtime or errors.
  3. Nothing in these Terms limits liability for death or personal injury caused by negligence or fraud.

12. Dispute Resolution

  1. Both parties agree to make reasonable efforts to resolve any disputes amicably through discussion before taking legal action.
  2. If unresolved, the matter will be subject to the exclusive jurisdiction of the courts of England and Wales.

13. General

  1. These Terms constitute the entire agreement between the parties.
  2. Any changes must be agreed in writing.
  3. We may update these Terms from time to time; the latest version will be published on our website and shall apply to new contracts.
  4. These Terms are governed by English law.
